End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") governs access to and use of RAG Tax AI ("the App"). By accessing the App, you agree to use it only as authorized by your organization and in accordance with this Agreement, the Privacy Policy, and applicable professional, tax, data protection, and security obligations.

1. License grant

Subject to this Agreement, we grant authorized users a limited, non-exclusive, non-transferable, revocable license to use RAG Tax AI for tax return review, workpaper preparation, document analysis, client request workflows, accounting software analysis, research assistance, and related professional tax and accounting workflows.

3. Data and privacy

Use of the App is subject to our Privacy Policy, which is incorporated into this Agreement by reference. Users and their organizations are responsible for maintaining client authorizations, professional confidentiality obligations, tax records, and any required data processing or confidentiality agreements with their own clients.

4. Third-party services

The App integrates with third-party services including AI model providers, Google services, QuickBooks Online, Xero, and hosting or infrastructure providers. Your use of connected services may be subject to those providers' terms, privacy policies, account settings, rate limits, and authorization requirements.

5. Disclaimer of warranties

The App is provided "as is" and "as available" without warranty of any kind. AI-generated outputs, summaries, calculations, workpapers, notices, research responses, and drafts are assistance tools only. They may be incomplete, inaccurate, outdated, or unsuitable for a particular client or filing position. A qualified professional must review, verify, and approve all outputs before use or reliance.

6. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, filing errors, penalties, interest, professional liability claims, or business interruption arising from use of the App or reliance on AI-assisted outputs.

7. User accounts and budgets

Administrators may create, disable, delete, or modify user accounts and may set spending or token-related limits. The App may block AI-powered actions when a user reaches the configured limit. Usage and cost estimates are operational controls and may differ from provider invoices due to timing, model pricing changes, retries, caching, or provider-side billing adjustments.

8. Suspension and termination

We may suspend or terminate access at any time if we believe an account is unauthorized, insecure, abusive, non-compliant, inactive, or otherwise creates legal, security, operational, or business risk.

9. Data retention, deletion, and security controls

The App may retain account records, client workflow records, OAuth tokens, audit logs, usage logs, and uploaded materials as described in the Privacy Policy. Administrators may request deletion, token revocation, user deactivation, or retention changes where operationally and legally permitted. Security controls such as rate limits, budget limits, audit logging, firm separation, and administrator verification may be added or changed to protect the App.

10. Changes

We may update this Agreement from time to time as the App, integrations, security controls, and business terms evolve. Continued use after an update means you accept the updated Agreement.
